Huayou Cobalt ( 603799.SH ): Plans to jointly invest with the controlling shareholder to build the Huayou Group headquarters technology building

Gelonghui April 7th | Huayou Cobalt ( 603799.SH ) announced that due to factors such as planning control adjustments and the inability to subdivide land rights for the land parcel, the company originally planned to meet related site usage needs by leasing the headquarters building to be constructed by controlling shareholder Huayou Holding Group Co., Ltd. (hereinafter referred to as “Huayou Holding”). In November 2025, because of land planning adjustments at the project site and the allowance for bidders to participate in bidding through joint ownership, and since the project can also have independent property rights after completion, the original land use entered the re-bidding process. The company then participated in the joint purchase of the land parcel through shared ownership. To reduce future ongoing related-party transactions and enhance the company’s independence, the company signed a “Cooperation and Construction Agreement” with Huayou Holding, agreeing to jointly build the Huayou Group Headquarters Science and Technology Building (hereinafter referred to as “Headquarters Science and Technology Building” or “this project”) on the land parcel [2019-171] in Tongcheng District, Jiaxing City, Zhejiang Province. The total construction cost is 1,483.3241 million yuan (excluding land transfer fees, the same below), of which the company holds a 64.60% stake, corresponding to an investment of 958.22 million yuan, and Huayou Holding holds a 35.40% stake, corresponding to an investment of 525.09 million yuan. After the project is completed, the company will carry out property rights division according to the above proportions and separately handle the real estate registration.

This project will create a modern headquarters complex integrating business offices, expert facilities, brand display, and comprehensive services, featuring clearly divided functional zones including business office buildings, expert and talent buildings, and supporting service facilities.
